We are seeking to acquire and operate an exceptional service business with a strong reputation, enduring customer relationships, and a solid operational foundation.

Target Deal Type

  • SBA 7(a)–friendly asset purchase

  • 100% acquisition with 3–12 month owner transition

  • Open to subordinated seller note and/or small performance earn-out

Location

  • San Francisco Bay Area preferred

  • Northern California, including regions from Carmel and Monterey through Sacramento and Lake Tahoe

  • Broader consideration: Select opportunities throughout California that strongly align with our operational and financial criteria

  • Should be within a reasonable flight of the San Francisco Bay Area

  • Repeatable services, operational depth, and on-site or physical output
    (not purely digital).

Financial Profile

  • Revenue: $2M – $10M

  • SDE / Owner Cash Flow: $500K minimum; ideal $700K – $1.5M+

  • Stable or improving margins over the past 3–5 years

  • Minimum 7 years operating history

  • Strong cash flow

Customer & Revenue Mix

  • No single client >25% of revenue, diversified customer base

  • Recurring or repeat client relationships

  • Limited customer concentration

  • Durable demand independent of short-term trends or platform dependency

Operations & Team

  • Team size: 10–40 employees

  • Strong operations, PM, and production capabilities

  • Existing leadership or supervisory depth expected to stay post-close

  • Facility, fleet, warehouse, or infrastructure suited to current volume with room for growth

  • Documented processes for estimating, scheduling, production, and QC preferred

  • Strong customer service orientation and execution capabilities

Owner Transition

  • Owner is not the sales or technical bottleneck

  • Willing to remain for transition period (3–12 months)

  • Key staff retention expected

Deal Structure Requirements

  • SBA 7(a)-compatible acquisition preferred

  • Full acquisition

  • Business must support:

    • Full SBA debt service

    • Market compensation for one full-time CEO role

    • Ongoing working capital and equipment reinvestment

  • Target DSCR: 1.6x or higher

  • Pure digital marketing or SEO/social/media/web agencies

  • Businesses dependent on a founder / founder’s personal brand

  • Trend-driven or platform-dependent companies

  • Venture-backed or early-stage startups

  • Distressed turnaround situations

  • Businesses lacking operational depth or management continuity
